RESOLUTION AUTHORIZING A THREE-YEAR NON-EXCLUSIVE USE AGREEMENT WITH WESTERN DULUTH LITTLE LEAGUE INCORPORATED FOR THE USE AND MAINTENANCE OF THE FIELDS BEHIND WADE STADIUM.

RESOLVED, that the proper city officials are hereby authorized to enter into a three-year non-exclusive use agreement, substantially in the form attached as Exhibit 1, with Western Duluth Little League Incorporated for the use and maintenance of the fields behind Wade Stadium for its youth baseball program.
Statement of Purpose
STATEMENT OF PURPOSE: This resolution authorizes a three-year agreement with the Western Duluth Little League Incorporated (“WLL”) for use of the fields behind Wade Stadium (the “Fields”) for its youth baseball program. WLL may use the Fields between May 1 and July 31 during each year of this agreement on a non-exclusive basis. However, WLL shall have exclusive use of the Fields on certain days and times as indicated in the agreement. In addition, WLL may host up to six tournaments per calendar year at the Fields at no cost. If more than six tournaments are hosted in a calendar year, then the council-approved fee will apply for each additional tournament.
There is no usage fee associated with this agreement because WLL uses the Fields on a non-exclusive basis and performs general ball field and lawn care maintenance duties, including but not limited to raking, mowing, trimming, fertilizing, and watering. WLL is also responsible to prepare the Fields for its practices and games, which duties include infield dragging, chalking, and ag-lime application. In addition, WLL is responsible to maintain the Fields in a clean and orderly condition and shall pick up all paper, garbage, and other debris generated from its use. If desired, WLL may operate concessions in the building at the Fields and, if so, shall comply with all licensing requirements from the health departments of the State of Minnesota and County of St. Louis.
The City is responsible to pay for the electric and water utilities at the Fields, but has no contractual obligations to maintain the Fields.
