RESOLUTION AUTHORIZING ASSUMPTION OF AND AMENDMENT TO AN AGREEMENT BETWEEN THE CHESTER BOWL IMPROVEMENT CLUB AND LHB, INC., TO TRANSFER AGREEMENT OWNERSHIP TO THE CITY OF DULUTH FOR AN AGREEMENT TOTAL NOT TO EXCEED $197,625.00.

CITY PROPOSAL:
WHEREAS, resolution 25-0082R authorized an operations and management agreement, City Contract No. 24926, with the Chester Bowl Improvement Club (Club) to provide outdoor recreation programming at Chester Park, including use and management of the Thom Storm Chalet and Outdoor Recreation Center (Center).
WHEREAS, the Club entered an agreement with LHB, Inc. to develop designs for the reconstruction of the Center at Chester Park.
WHEREAS, the City of Duluth and Club collaboratively sought grant funding from the Environment and Natural Resources Trust Fund as authorized by resolution 24-0229R to support the renovation of the Center with the Club providing the local matching funds for the project.
WHEREAS, the City of Duluth will enter a development agreement with the Club, as authorized by resolution 25-0789R, and administer the Environment and Natural Resources Trust Fund grant, as authorized by resolution 25-0790R.
WHEREAS, the City of Duluth shall take over ownership of the agreement with LHB, Inc. to manage the project and complete the reconstruction of the Center, which is a City-owned asset.
NOW, THEREFORE, BE IT RESOLVED, that the proper city officials are authorized to assume and amend an agreement, substantially in the form attached as Exhibit A, with the Chester Bowl Improvement Club, the Owners, and LHB Inc., the Architects.
FURTHER RESOLVED, the assumption transfers ownership of the agreement from Chester Bowl Improvement Club to the City of Duluth, and amends the original agreement in its entirety, replacing it with a standard City Architect Agreement, substantially in the form attached as Exhibit B, for a total not to exceed $197,625.00, payable from fund 205-130-1220-5520-CM205-CHSTER-MMPIMP (Parks Fund, Community Resources, Parks Capital, Buildings & Structures, Capital Maintenance Fund 205, Chester Park, Mini Master Plan Implementation).
Statement of Purpose
STATEMENT OF PURPOSE: This resolution authorizes an assumption of an amendment to an agreement between the Chester Bowl Improvement Club and LHB, Inc, for a total not to exceed $197,625.00. The assumption transfers ownership of the agreement from the Chester Bowl Improvement Club to the City of Duluth as well as amends the original agreement in its entirety replacing it with a standard City Architect Agreement.
The Chester Bowl Improvement Club (Club) operates at Chester Park under a management agreement with the City of Duluth, delivering outdoor recreation and educational programs for children, families, and underserved community members. The Center is located within Chester Park and no longer meets community needs. The existing building is past its useful lifespan, and the demand for Club programming exceeds the building’s capacity.
The Club entered an agreement with LHB, Inc. to develop designs for the reconstruction of the Center, and the Club successfully raised funds to support the project. These designs and funds allowed the City and Club to work collaboratively to secure state grant funds in the amount of $2,312,000 from the Environment and Natural Resources Trust Fund as recommended by the Legislative-Citizens Commission on Minnesota Resources, as authorized under a separate resolution, for which the Club’s fundraising is serving as the local match funding.
