RESOLUTION AUTHORIZING AN ASSIGNMENT AND ASSUMPTION AGREEMENT WITH WESTERN LAKE SUPERIOR SANITARY DISTRICT AND ACCEPTING THREE EASEMENTS FOR WATER LINE PURPOSES, AT NO COST TO THE CITY.

CITY PROPOSAL:
RESOLVED, that the proper city officials are hereby authorized to enter into an Assignment and Assumption Agreement, substantially in the form attached as Exhibit 1, with Western Lake Superior Sanitary District, a public corporation and political subdivision of the State of Minnesota ("WLSSD") and accept three easements for the transportation of water or other liquids, over, under, and across certain real property, as such easement interests were created in the following documents, at no cost to the City:
1. Permanent Water Line Easement Agreement dated January 21, 2019 between WLSSD and J & S Partnership, LLP, a Minnesota limited liability partnership, which easement was recorded January 29, 2019, in the Office of the St. Louis County Recorder as Document No. 1349142 (the "J & S Easement"). The real property affected by the J & S Easement is legally described on Exhibit B attached to the J & S Easement;
2. Permanent Water Line Easement Agreement dated February 3, 2020 between WLSSD and the Duluth Economic Development Authority, an economic development authority created and existing under Minnesota Statutes (1989) Chapter 469, which easement was recorded on February 19, 2020 in the Office of the St. Louis County Registrar of Titles as Document No. 1020707 (the "DEDA Easement"). The real property affected by the DEDA Easement is legally described on Exhibit B attached to the DEDA Easement; and
3. Permanent Water Line Easement Agreement dated February 13, 2020 between WLSSD and the Duluth Transit Authority, a Transit Authority created and existing under Minnesota Statutes, Section 458A.21 to 458A.37, which easement was registered on March 3, 2020 in the Office of the St. Louis County Registrar of Titles as Document No. 1021086 (the "DTA Easement")...
