RESOLUTION AUTHORIZING FIRST AMENDMENT TO CITY CONTRACT NO. 24104 WITH ST. MARY’S DULUTH CLINIC HEALTH SYSTEM, DBA, ESSENTIA HEALTH EAST, FOR DESIGN AND CONSTRUCTION OF ROAD AND UTILITY WORK, PHASE II, 2ND STREET, 4th TO 6th AVENUES EAST, IN THE REGIONAL EXCHANGE DISTRICT.

CITY PROPOSAL:
RESOLVED, that the proper city officials are hereby authorized to enter into a first amendment to city contract no. 24104, the Agreement for Design and Construction of Road and Utility Work, Phase II, 4th to 6th Avenues East, Regional Exchange District Project, substantially the same as that attached hereto as Exhibit A, with St. Mary’s Duluth Clinic Health System, DBA, Essentia Health East, a Minnesota nonprofit corporation ("SMDC") making minor adjustments to address legislative amendments, State grant agreement provisions, timing issues and penalties.
Statement of Purpose
STATEMENT OF PURPOSE: The purpose of this resolution is to approve a First Amendment to the Agreement for Design and Construction of Road and Utility Work, Phase II, 4th to 6th Avenues East, Regional Exchange District Project. This Amendment addresses: (i) legislative amendments that were passed subsequent to execution of the original agreement; (ii) alignment of provisions with State grant agreement requirements; and, (iii) penalties, and grammatical or typographic changes.
