CITY PROPOSAL:
WHEREAS, on April 24, 1989, the Duluth city council adopted Resolution 89-0323 establishing the Duluth economic development authority ("DEDA"), which has been further amended by Resolution 98-0949, Resolution 99-0239, Resolution, 02-0606, Resolution 04-0202, Resolution 04-0215, Resolution 09-0342, Resolution 10-0029, and Resolution 18-0516 (collectively referred to as the "DEDA establishment resolution"); and
WHEREAS, the DEDA establishment resolution currently provides that DEDA shall not enter into an agreement involving an expenditure by DEDA of more than $100,000 without prior approval of the council; and
WHEREAS, from time to time, the city and city purchasing agent have increased city purchasing thresholds for contracts and expenditures that require city council approval, with the city most recently increasing the approval threshold for city contractual services and supplies in the city's purchasing code from $100,000 to $150,000 in 2018; and
WHEREAS, the DEDA Commission approved Resolution 25D-02 recommending that the DEDA establishment resolution be amended to increase the DEDA expenditure approval threshold to $150,000, and the city council desires to align the DEDA expenditure approval threshold with the city's purchasing code.
` NOW, THEREFORE, BE IT RESOLVED, that Paragraph 19 of the DEDA establishment resolution is hereby amended as follows:

19. That DEDA shall not enter into an agreement involving an expenditure by DEDA of more than $100,000$150,000 without the prior approval of the council. For the purposes of this resolution, "expenditure" shall mean the following: payments; loans; guarantees made by DEDA; grants made by DEDA; forgiveness or reduction of amounts owed to DEDA under contract; loans or transfers between DEDA fu...
