RESOLUTION AUTHORIZING THE PARTIAL RELEASE OF DEVELOPMENT AGREEMENT RELATED TO SATURDAY ZENITH, LLC

RESOLVED, by the Duluth Economic Development Authority ("DEDA"), that the proper DEDA officials are hereby authorized to release those certain development agreements which have been restated and amended in their entirety or which contain error in the recorded documents of the Office of the St. Louis County Recorder and the Office of the St. Louis County Registrar of Titles, substantially in the form of the copy attached hereto, that relate to the development agreements entered into with Saturday Zenith, LLC related to the Zenith (Historic Old Central High School) Project.
BE IT FURTHER RESOLVED, that DEDA hereby authorizes the Executive Director to take such actions that are deemed proper and necessary by the St. Louis County Examiner of Titles to release from title such development agreements entered into with Saturday Zenith, LLC related to the Zenith (Historic Old Central High School) Project, which have been restated and amended in their entirety or which contain errors found in the records of the St. Louis County Registrar of Titles.
Statement of Purpose
STATEMENT OF PURPOSE: The purpose of this Resolution is to authorize the partial release of development agreements which may have contained errors or missing exhibits when recorded with the Offices of the St. Louis County Recorders and Registrar of Titles. The Partial Release describes the various documents executed and recorded with respect to the Development Agreement between DEDA and Saturday Zenith, LLC - Zenith (Historic Old Central High School) Project. The Developer has requested clarification and affirmation of the controlling documents. This Resolution and Partial Release provides for the release of documents which have been restated and amended in their entirety or which may have been recorded in the real estate records with errors or omissions.
