CITY PROPOSAL:

                     RESOLVED, that the proper city officials are hereby authorized to enter into a Maintenance and Operating Agreement for the Medical District Parking Ramp Skywalk Bridge, substantially the same as that attached hereto as Exhibit 1, with St. Mary’s Duluth Clinic Health System, a Minnesota nonprofit corporation (“SMDC”), for SMDC’s operation and maintenance of the portion of the Skywalk subject to the agreement, for an initial term of fifteen (15) years with an option to renew, at no cost to the city.

 

Statement of Purpose

STATEMENT OF PURPOSE:  The purpose of this resolution is to approve a Maintenance and Operating Agreement under which St. Mary’s Duluth Clinic Health System (“SMDC”) will maintain and operate the newly constructed pedestrian passageway bridge (“Skywalk”) connecting the City-owned Medical District Parking Ramp and the newly constructed SMDC Vision Northland hospital.  Pursuant to the Agreement, SMDC will be responsible for day-to-day operation and maintenance of the facility at no cost to City for an initial term of 15 years with an optional renewal term of 15 years, subject to City authorization. The Skywalk was funded by State of Minnesota appropriation bond proceeds authorized under the Regional Exchange District legislation, Minnesota Laws 2019, 1st Special Session Chapter 6, Article 10, as amended by Section 1 of Laws of Minnesota 2021, 1st Special Session Chapter 9 (the “Act”).   The Agreement is subject to the terms of that certain Grant Agreement between the State of Minnesota and the City, as amended, pursuant to the Act and has been reviewed and approved by the State of Minnesota Office of Management and Budget.
