RESOLUTION APPROVING FIRST AMENDMENT TO THE LICENSE AGREEMENT WITH AMAZON

WHEREAS, effective as of December 13, 2023, the Duluth Economic Development Authority (“DEDA”) and Amazon.com Services LLC ("Licensee") entered into a License Agreement bearing DEDA Contract No. 23 860 113 for the development of the Amazon project pursuant to which Licensee is authorized to deposit certain fill materials on lands owned by DEDA.
WHEREAS, DEDA and Licensee now wish to amend the License to increase the amount of fill Licensee may deposit and increase the management fee paid to DEDA.
NOW, THEREFORE, BE IT RESOLVED that the proper DEDA officials are hereby authorized to enter into a First Amendment to License Agreement, substantially in the form of that attached hereto with Ryan Companies US, Inc., increasing the amount of fill, and increasing the management fee, payable to Fund 866
Statement of Purpose
STATEMENT OF PURPOSE: This Resolution authorizes approval of an amendment to a license agreement at the Atlas Industrial Park for the development of the Amazon site at an adjacent parcel. This agreement utilizes the Soil Management Area constructed to support site redevelopment at the Industrial Site for use of soil fill.
The project will increase the amount of fill material, increase the size and height of the area, as well as increasing their fee to DEDA to $5.00 per cubic yard of fill placed.
