CITY PROPOSAL:
RESOLVED, that the proper city officials are authorized to enter into a software agreement, substantially in the form of that attached as Exhibit A, with First Due Holdings, Inc., a Delaware corporation, through its wholly-owned subsidiary Locality Media, LLC dba First Due, in the amount of $35,750.00, said funds to be paid as follows for the purpose of purchasing fire department operations management software: $30,950.00 annually and $4,800.00 as a one-time setup cost, subject to a 6% cap on annual cost increases. Original funding to be expended as a one-time expense from Fund 210-030-3211-5241 (special projects, Finance, Fire Department fund, small equip-office/operating), with annual ongoing funding to be provided from Fund 110-150-1502-5414 (general fund, Fire, operations, software licenses and maintenance) beginning in 2026.

Statement of Purpose
This resolution authorizes a software agreement with First Due Holdings, Inc. through its wholly owned subsidiary Locality Media, LLC dba First Due, in the amount of $35,750.00 for the purchase of fire department operations management software. This software will replace the department's current Aegis Records Management System and includes five integrated modules: Records Management System for fire and EMS reporting, Fire Investigation, Scheduling, Personnel Management, and Asset & Inventory. The software will enhance operational efficiency, data accessibility, and long-term planning across all divisions
