RESOLUTION AUTHORIZING A DONATION AGREEMENT BETWEEN THE CITY, MINNESOTA POWER, ENBRIDGE ENERGY, AND HUNT ELECTRIC CORPORATION ACCEPTING A PROJECT DONATION VALUED AT $378,000 FOR CONSTRUCTION OF A 54kW SOLAR CARPORT AND ELECTRIC VEHICLE CHARGING STATION ON CITY PROPERTY (THE ENDION LOT).

CITY PROPOSAL:
WHEREAS, the city of Duluth is the fee title owner of real property located at Lower Railroad Street and Lake Avenue, a portion of which is used as a parking lot and commonly known as the “Endion Lot;” and
WHEREAS, Minnesota Power, Enbridge Energy, and Hunt Electric Corporation wish to donate capital and services to the city resulting in the construction of a 54 kilowatt (kW) solar carport structure in the Endion Lot, including nine electric vehicle charging ports (one direct current “fast charge” unit, and four additional 240-volt charging units with two access points each), hereinafter “the Project,” to be transferred to the city upon Project completion; and
WHEREAS, the parties, including their legal counsel, have participated jointly in the negotiation and drafting of a Donation Agreement describing the terms of the Project, including a license agreement permitting Minnesota Power and Hunt Electric to construct the Project.
NOW, THEREFORE, BE IT RESOLVED, that the proper city officials are authorized to execute a donation agreement, substantially in the form attached hereto as Exhibit A, permitting Minnesota Power, Enbridge Energy, and Hunt Electric to construct, donate and transfer to the city a 54 kW solar carport and electric vehicle charging station on the Endion Lot.
Statement of Purpose
STATEMENT OF PURPOSE: This resolution authorizes the appropriate city officials to execute the attached donation agreement between the city, Minnesota Power, Enbridge Energy, and Hunt Electric Corporation permitting the construction, donation and transfer to the city of a 54 kW solar carport and electric vehicle charging station on the Endion Lot.
