RESOLUTION CONSENTING TO ASSIGNMENT OF CITY CONTRACT NO. 22911 TO TWIN PORTS TESTING II, INC.

CITY PROPOSAL:
RESOLVED, that pursuant to the provisions of Paragraph III. 2. of the city’s Master Services Agreement for Professional Services bearing city contract No.22911, the city hereby consents to the assignment of said contract from Twin Ports Testing, Inc. to Twin Ports Testing II, Inc.
Statement of Purpose
STATEMENT OF PURPOSE: The purpose of this resolution is to manifest the city’s consent to the assignment of the Master Services Agreement between the city and Twin Ports Testing, Inc. to a new corporate entity, Twin Ports Testing II, Inc.
The owners of the “old” corporation are, in effect, selling the business to a new corporate entity which will consist of the employees of the old corporation. Thus the work will continue to be performed by substantially the same staff and therefore the city engineer’s division is comfortable with the assignment of the contract to the new entity.
The contract requires the consent of the city to such an assignment.
