RESOLUTION AUTHORIZING FIRST AMENDMENT TO CITY CONTRACT NO. 23888 WITH SMDC FOR THE CONSTRUCTION OF THE NEW PARKING RAMP IN THE REGIONAL EXCHANGE DISTRICT.

CITY PROPOSAL:
RESOLVED, that the proper city officials are hereby authorized to enter into the First Amendment to City Contract no. 23888, the Agreement for Property Acquisition for and Design and Construction of an up to 1400 Stall Parking Ramp, Regional Exchange District Project, a copy of which is attached hereto as Exhibit A, with St. Mary's Duluth Clinic Health System, DBA Essentia Health East, a Minnesota nonprofit corporation ("SMDC") making minor adjustments to timing issues and penalties.
Statement of Purpose
STATEMENT OF PURPOSE: the purpose of this resolution is to authorize the First Amendment to the Agreement for Property Acquisition for and Design and Construction of an up to 1400 Stall Parking Ramp, Regional Exchange District Project, with SMDC for the construction of the new parking ramp in the RED.
The changes are technical in nature, intended to accommodate changing circumstances due to time and other minor corrections. One change is to extend the date by which SMDC is required to provide title to all of the ramp property to the City to accommodate the changing footprint of the property. Another is to allow for the effect on that changing footprint and the timing on receipt of the State grant language. In addition, certain penalty provisions are being modified.The essential agreement remains the same.
