RESOLUTION APPROVING DULUTH TRANSIT AUTHORITY’S PERPETUAL TERM MANAGEMENT AND OPERATING AGREEMENT WITH ATE OF DULUTH, INC.

CITY PROPOSAL:
RESOLVED, that the Laws of Minnesota for 1969, Chapter 720, creating the Duluth Transit Authority (DTA), subdivision 3 grants the DTA the power, in lieu of directly operating any public transportation system, or any part thereof, to enter into management contracts with any persons, firms or corporations for the management of said system, for such periods of time, and for such purposes, and under such compensation and other terms and conditions as shall be deemed advisable for proper by the DTA and such persons, firms or corporations, subject to the approval by resolution, of the city council.
RESOVLVED FURTHER, that on July 27, 2022, the DTA Board of Directors authorized the DTA General Manager to approve an operating agreement between the DTA and ATE of Duluth, Inc., and further authorizes the DTA General Manager to finalize said operating agreement, said DTA Board approval is attached as Exhibit A and incorporated by reference; and
RESOLVED FURTHER, that the City Council approves, as required by Laws of Minnesota for 1969, Chapter 720, subdivision 3, the DTA’s management contract with ATE of Duluth, Inc. substantially in the form as the operating agreement attached as Exhibit B and incorporated by reference, for a perpetual term.
Statement of Purpose
STATEMENT OF PURPOSE: This resolution approves the Duluth Transit Authority’s management and operating agreement with ATE of Duluth, Inc. The DTA’s current management and operating agreement with FirstGroup Management, Inc. expires on October 31, 2022.
